Astra Otoparts Extraordinary General Meeting Announces Changes in the Board of Commissioners

JAKARTA: PT Astra Otoparts Tbk (“the Company”) today (20/10) held an Extraordinary General Meeting of Shareholders (“EGMS”) with the main agenda of Changes to the Composition of the Board of Commissioners.

This agenda is part of the Company’s efforts to ensure the implementation of sound and sustainable corporate governance practices. Through the EGMS, shareholders approved the following:

  1. The appointment of Mr. Djangkep Budhi Santoso as the Company’s Independent Commissioner, effective as of the closing of this Meeting until the closing of the Company’s Annual General Meeting of Shareholders in 2027. Accordingly, the composition of the Company’s Board of Commissioners is as follows:
    Board of Commissioners:
    Gidion Hasan – President Commissioner
    Bambang Widjanarko E. S. – Independent Commissioner
    Agus Tjahajana Wirakusumah – Independent Commissioner
    Djangkep Budhi Santoso – Independent Commissioner
    Gunawan Geniusahardja – Commissioner
    Sudirman Maman Rusdi – Commissioner
    Thomas Junaidi Alim. W – Commissioner

  2. The shareholders also granted authority to the Company’s Board of Directors, with the right of substitution, to declare the resolutions of this Meeting concerning the appointment of the Board of Commissioners in a separate notarial deed and to submit the required notifications to the Minister of Law and Human Rights of the Republic of Indonesia. The Board of Directors is further authorized to undertake all necessary actions in accordance with the prevailing laws and regulations.

With the establishment of the new Board of Commissioners, the Company aims to continue advancing its strategic initiatives to enhance performance and strengthen corporate governance.

In line with this decision, the President Director of the Company, Hamdhani Dzulkarnaen Salim, expressed his appreciation and gratitude to the members of the Board of Commissioners for their contributions, dedication, and service, while also welcoming the newly appointed member of the Board of Commissioners.
